Director, Internal Controls (future Head of Internal Audit)

Department: Finance

Employment Type: Full Time

Location: Bethesda

Reporting To: Marc King

Compensation: $180,000 - $220,000 / year

We are hiring the leader who will build our internal controls program to SOX standards — and then found our Internal Audit function. This is a rare two-act role: Act 1, own the SOX 404 readiness build across a newly combined, NetSuite-based enterprise; Act 2, transition to Head of Internal Audit under an audit-committee charter as we approach listing. You will shape both the control environment and the function that oversees it.

Key Responsibilities

Phase 1 responsibilities — SOX program leadership

  • Lead day-to-day execution of the SOX 404 readiness program under the VP Corporate Controller (program owner), working with an internal PM coordinator and a co-source advisory firm.
  • Drive process documentation: narratives, flowcharts, and risk-control matrices across O2C/revenue, P2P, inventory/cost, payroll, close & reporting, treasury, tax, and entity-level controls.
  • Own the ITGC workplan with IT for our NetSuite environment: access management, segregation of duties, change management, IT operations, and SOC-report/CUEC mapping.
  • Design management review controls with documentation precision that withstands auditor testing; build the IPE (information produced by entity) inventory and validation approach.
  • Run deficiency evaluation and remediation tracking; prepare the program for management's first 404(a) assessment.
  • Coordinate with the external audit firm on expectations, walkthroughs, and readiness; support technical accounting and reporting teams on control implications.

Phase 2 responsibilities — Head of Internal Audit

  • Stand up the Internal Audit function under an audit-committee-approved charter: functional reporting to the audit committee, administrative reporting to the CFO.
  • Build and execute the risk-based internal audit plan and the SOX testing program supporting the 404(a) assessment; establish committee reporting cadence.
  • Establish IA methodology, workpaper standards, and (over time) team — consistent with IIA standards and listing requirements.

Skills, Knowledge & Expertise

  • 10+ years across public accounting and/or public-company internal controls / internal audit; Big 4 or national firm foundation strongly preferred.
  • Hands-on SOX 404 experience at or with public companies — ideally including a first-year 404 or IPO- readiness build.
  • CPA strongly preferred; CIA or equivalent audit credential with deep SOX experience considered. CISA a plus. Working fluency in COSO 2013 and PCAOB AS 2201.
  • ERP controls depth — NetSuite experience a strong plus; comfort partnering with IT on access, SoD, and change management.
  • Executive presence to eventually present to an audit committee; the judgment to hold the line between advising management and independently evaluating it.
  • Genuine interest in the Internal Audit destination — this role is designed to become our IA leader, and we will say so out loud in interviews.
